What
Abri invests in micro and small capitalization public companies in North America, Europe and Asia. Over the last 30 years, the principals of Abri have invested in hundreds of public companies across the globe. We have negotiated, structured and funded over 1’000 transactions in a variety of structures and have extensive international experience with cross-border transactions. We are generally industry and geography agnostic, and willing to take a longer-term strategic partnership view towards funding and value creation, or a shorter-term opportunistic view for operational or acquisition financing, or for the pursuit of other corporate opportunities.
Why
All too often, small public companies are neglected and over-looked by traditional banks and investment banking firms due to their size. Main-stream banking firms cannot earn enough fees financing small companies. Nor do these institutions want to take the time to understand and analyse the companies and their capital needs.
How
At Abri, we do things a little differently. Abri’s funding propositions are simple and straight-forward. We take the time to meet with management in order to understand:
- what they are trying to achieve
- their time horizon
- their complete capital picture
- their forward-looking funding needs
We generally purchase straight equity at a negotiated reasonable discount to the market price. We do not prefer complex convertible debt instruments with floating conversion prices, complex and difficult to understand warrant structures, coupled with restrictions on the ability of the company to operate and to seek alternative capital, e.g. generally no right of first refusal.
Criteria
Abri considers investments in public companies with the following general criteria:
- Average investment size ranging from $500’000 to $5’000’000.
- Common shares traded on one of the main exchanges in country of domicile.
- Market capitalisation between $5’000’000 to $500’000’000.
- Current in all regulatory filings and able to issue and sell unrestricted shares.
